Jeremy London, a partner in the Mergers and Acquisitions Group of Skadden’s Washington, D.C. office, concentrates his practice in the areas of mergers and acquisitions, corporate finance, securities law and general corporate matters in a variety of industries, including energy and health care. Mr. London has represented acquirors, targets and financial advisors in a number of significant transactions, including public and private acquisitions and divestitures, negotiated and contested public acquisitions, and other corporate matters. Mr. London also counsels sellers, private equity firms and management in leveraged buyout transactions and firm clients in joint ventures and other strategic alliances.

Significant representations include:

  • Genesis HealthCare Corporation, a provider of rehabilitation, skilled nursing and assisted living services, in the $2.4 billion sale of substantially all of its real estate assets to Health Care REIT, Inc.;
  • The special committee of the board of directors of CNX Gas Corporation, a producer of natural gas, in the $964 million acquisition by CONSOL Energy Inc. of the remaining stake in CNX Gas which CONSOL did not own;
  • Oil Shale Exploration Company, one of the largest owners of shale oil resource in the United States, in its acquisition by Eesti Energia AS (a company involved in oil shale mining and electricity generation and distribution based in Estonia);
  • Electricité de France S.A. (EDF) in its $4.5 billion acquisition of a 49.9 percent stake in the nuclear business of Constellation Energy Group, Inc.;
  • Duke Energy in its $36 billion merger-of-equals with Cinergy;
  • Duke Energy in its spin-off of its natural gas businesses to form Spectra Energy;
  • Spectra Energy in a number of public debt and equity offerings;
  • Various underwriters in the sale of debt securities by Puget Energy, Inc. and its subsidiary, an electric and natural gas utility;
  • Waste Management, Inc. in its proposed, but terminated, approximately $6.2 billion unsolicited bid for Republic Services, Inc. Both companies are providers of waste disposal services;
  • AOL in its acquisition of Quigo Technologies, Inc., an Internet advertising company;
  • MedAssurant, Inc., a provider of medical clinical quality, care management, and financial efficiency improvement, in its investment by Andre Hoffman and in its acquisition of Catalyst Information Technologies, Inc., a provider of analytical data services and software for the health care industry;
  • CorSolutions, a leading disease management company, in its acquisition by Matria Healthcare;
  • Alere Medical, a leading disease management company, in its acquisition by TA Associates;
  • MTS Health Partners, a private equity firm focused on health care, in several acquisitions of portfolio companies;
  • Dubai Aerospace in its $1.8 billion acquisition of two aviation MRO and FBO portfolio companies from The Carlyle Group;
  • Dubai Aerospace in its $436 million sale of Landmark Aviation to GTCR Golder Rauner, LLC and Encore FBO, LLC. Encore FBO, LLC and Landmark Aviation are fixed base operators that serve the aviation industry;
  • An investment group led by Zygmunt Wilf in the acquisition of the Minnesota Vikings NFL franchise and related acquisition financing;
  • Mirant Corporation in its $3.4 billion sale of its Philippines operations to The Tokyo Electric Power Company and Marubeni;
  • ArcLight Capital Partners LLC, an energy infrastructure investment, private equity and venture capital firm, and its affiliate, Terra-Gen Power LLC in the acquisition and project financing, consisting of commercial bank and leveraged lease debt and equity financing of a 824-megawatt renewable power portfolio consisting of 18 geothermal, wind and solar renewable power generation projects located throughout the United States;
  • Enron Corp. in its bankruptcy auction and sale of its interest in EcoElectrica, a 507MW power plant and LNG terminal in Puerto Rico to Gas Natural and the restructuring of preferred stock held by GE;
  • Enron Corp. in its sale of its interest in Dabhol Power Company, a $3 billion LNG-fueled power project in India, to Bechtel and GE and in the related settlement of political risk insurance claims with OPIC; and
  • Nabors Industries, a leading oil well services company, in its reorganization as a Bermuda company and several domestic and Canadian acquisitions and financings.
